Merchant Terms of Service

Welcome to Perqit. These Merchant Terms of Service ("Terms") govern your access to and use of the Perqit platform as a business owner, merchant, or authorized representative. By creating an account, registering your business, or using our platform, you agree to be bound by these Terms.

1. Account Registration & Security

To use Perqit, you must create a merchant account. Account authentication and login sessions are securely managed via Clerk. You are solely responsible for maintaining the security of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breaches.

2. Platform Services & Scope

Perqit provides software tools that allow you to:

• Create and issue digital loyalty point cards or prepaid gift cards to your customers via Apple Wallet and Google Wallet.
• Customize your passes and automated emails using your own brand assets (logos, images, and brand colors).
• Configure store location data to enable location-based lock screen notifications for your customers.
• Scan customer pass barcodes via your smartphone and log into your dashboard to update point balances or credit allocations in real time.

3. Merchant Responsibilities & Compliance

As a merchant using Perqit, you agree that:

• Accuracy of Program Rules: You are entirely responsible for honoring the loyalty points, credits, and prepaid gift card values that you issue, track, and modify through the platform.
• Lawful Use: You will use Perqit only for lawful business purposes and in compliance with all applicable local, national, and consumer protection laws.
• Customer Data Handling: When customer email addresses or barcodes are scanned/processed in your store, you will respect customer privacy and use such data solely for the administration of your loyalty or gift program.

4. Intellectual Property & Branding

You retain all rights to your business name, logos, images, and brand assets. By uploading them to Perqit, you grant us a worldwide, non-exclusive license to use, display, and distribute those assets strictly for the purpose of generating your digital wallet passes and automated emails.

5. Limitation of Liability

Perqit is provided on an "as is" and "as available" basis. While we strive for high availability and secure wallet integrations (including Apple Wallet and Google Wallet APIs), we do not guarantee uninterrupted service. Perqit shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the platform, third-party wallet behaviors, or network disruptions.

6. Termination & Account Closure

You may request to close your merchant account and delete your store data at any time. Upon account termination, access to your dashboard will cease, and active customer cards linked to your store may expire or become invalid. We reserve the right to suspend or terminate your account if you violate these Terms.

7. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you via the email address associated with your merchant account. Continued use of Perqit after such changes constitutes your acceptance of the updated Terms.
